Pay: $70,000.00 - $90,000.00 per year
Note: This position offers a hybrid work arrangement. Employees are expected to work on-site at our clients Stamford, CT office several days per week, with the option to telecommute on other days.
Note: The qualified candidate for this position must have a minimum of 5+ years of corporate transactional paralegal experience, including mergers and acquisitions and general corporate law support.

Job Description
- Provide comprehensive paralegal support for corporate transactional matters, including M&A, venture capital financings, and general corporate governance.
- Draft and prepare formation, qualification, merger, and dissolution documents for corporations, LLCs, and partnerships.
- Manage multiple transactional closings and maintain closing checklists, signature pages, and executed document sets.
- Prepare and maintain capitalization tables, stock ledgers, board minutes, resolutions, and other entity records.
- Conduct due diligence, perform lien and IP searches, and prepare UCC filings.
- Assist with securities filings, including Form D and related documentation.
- Coordinate filings with the USPTO, Secretary of State, and other agencies.
- Maintain corporate records and support attorneys with day-to-day transactional needs.
- Utilize document management systems (iManage, Kira, Litera, Closing Folders).
- Support additional special projects as needed.
Qualifications
- Bachelors degree and/or paralegal certificate from an ABA-approved program.
- 5+ years of relevant corporate transactional experience.
- Demonstrated experience with mergers and acquisitions, venture financings, and general corporate governance.
- Strong command of Microsoft Office Suite and document management software.
- Exceptional organizational and communication skills with strong attention to detail.
- Ability to manage multiple deadlines and work efficiently under pressure.
- Flexible schedule with willingness to work overtime when required.
