Corporate and Securities Paralegal:

Shulman Rogers' Business and Financial Services Department is seeking an experienced Corporate and Securities Paralegal. The ideal candidate will have a minimum of 4 years of experience working on business transactions and private securities offerings, with a strong understanding of corporate/LLC laws and federal/state securities laws, as well as experience with corporate governance and regulatory compliance matters.

Responsibilities:

• Assist in efforts for M&A and other business transactions, including organizing and managing data rooms, due diligence reviews, reviewing documents, preparing transactional documents and closing checklists, and assisting with the closing process.
• Draft and review contracts, agreements, and other legal documents related to business transactions, commercial contracts, and corporate policies.
• Prepare and submit federal and state "blue sky" filings in connection with securities offerings.
• Conduct legal research and analysis on various business law issues, including securities regulations, corporate governance best practices, and compliance requirements.

Required Skills:

• Bachelor's degree or equivalent experience required; paralegal certification preferred.
• Minimum of 4 years of experience working as a business paralegal in a law firm or corporate legal department.
• Strong knowledge of business law principles, including entity formation, business transactions, corporate governance, and securities laws and regulations.
• Excellent organizational skills and attention to detail, with the ability to manage multiple tasks and deadlines effectively.
