Large Industrial Manufacturing Corporation seeks a Assistant General Counsel to report directly to the GC and assist on transactional daily legal matters including M&A, Compliance & Regulation, Real Estate, Risk evaluation, Employment & Labor, and more.

Job Details

Primary Duties:
  • Provide guidance to senior management on the legal aspects of major business, legal, and strategic initiatives.
  • Oversee key corporate deals, including mergers, acquisitions, and other significant business projects.
  • Ensure the company remains in compliance with applicable laws and regulations, both domestically and internationally, in line with company values and ethical standards.
  • Handle negotiations and management of contracts and property agreements.
  • Advise on dispute resolution and assess litigation risks related to areas such as product liability, environmental issues, employment matters, investigations, and more.
  • Offer legal advice on labor and employment law topics.
  • Manage and oversee external legal counsel and other third-party advisors, ensuring cost-effectiveness.
  • Collaborate with different business units to update and align practices and procedures with legal requirements.
  • Draft, review, and oversee the management of legal agreements and documents.
  • Partner with internal teams to identify, assess, and mitigate potential risks.
  • Provide strategic legal guidance, weighing the impact of decisions, anticipating challenges, and proposing proactive solutions, all while upholding ethical standards.
  • Build and nurture trust and strong relationships with key stakeholders.
  • Stay informed on legal developments by conducting continuous research on relevant laws and regulations.
  • Supervise external legal counsel and manage specific litigation matters.
  • Take on additional legal responsibilities as assigned by senior legal leadership.
Qualifications:
  • At least five years of legal experience.
  • Juris Doctor degree from an accredited institution.
  • A proactive approach to legal team involvement, adding value through business counseling and problem-solving.
  • Expertise in corporate law, including governance and reporting.
  • Strong business insight with a deep understanding of the commercial and financial impacts of strategic decisions.
  • Critical thinking skills to foresee and solve complex issues efficiently.
  • Proven ability to manage projects and processes, handling multiple responsibilities in a fast-paced environment.
  • Adaptability and a willingness to learn new areas and take ownership of various legal matters.
  • Strong decision-making abilities, quickly earning respect and trust from business leaders across the organization.
  • Team-oriented, capable of leading and collaborating with cross-functional teams to achieve key milestones and drive results.
  • A commitment to maintaining the highest standards of professional and ethical behavior.
  • Exceptional communication skills, both written and verbal.
